Selling on ADMONNT NETWORK PRIVATE LIMITED : Service Terms

The "Selling on ADMONNT NETWORK PRIVATE LIMITED" service ("Service") allows sellers to list and sell products on the ADMONNT NETWORK PRIVATE LIMITED platform, operated by ADMONNT NETWORK PRIVATE LIMITED. By registering for or using this Service, you agree to be bound by these Terms and the Business Solutions Agreement.

  1. Product Listings and Orders

    Product Information

    Sellers must provide accurate and complete information for each product listed and promptly update as needed. Products, materials, and packaging must comply with all applicable laws and avoid prohibited content such as obscene or defamatory materials, prohibited and restricted items (e.g., counterfeit products, hazardous materials, illegal products).

    Listing and Order Processing

    ADMONNT NETWORK PRIVATE LIMITED will list your products in applicable categories and provide tools for merchandising. We reserve the right to restrict or modify category access at our discretion. Order information will be shared with you for fulfillment, and sales proceeds will be paid as per Section 5.

    Shipping and Handling

    Sellers determine shipping and handling charges in line with platform policies. Such charges are considered part of your proceeds, subject to applicable deductions, based on the model you choose. For ADMONNT NETWORK PRIVATE LIMITED-fulfilled products, the platform determines and collects shipping fees directly.

    Fraud Protection

    ADMONNT NETWORK PRIVATE LIMITED bears the risk of fraudulent credit card transactions unless the fraud arises from improper fulfillment. Sellers bear other fraud-related risks.

  2. Fulfillment, Returns, and Refunds

    Fulfillment

    Sellers must ensure timely and compliant fulfillment of orders, including accurate packaging and shipping. Obligations include:

    • Shipping by the estimated date.
    • Providing shipment details and tracking.
    • Including packing slips identifying the seller.
    • Accepting returns in accordance with platform policies.

    Returns and Refunds

    Sellers must process returns, refunds, and adjustments as per ADMONNT NETWORK PRIVATE LIMITED's Refund Policies. Refunds are routed through the platform, with amounts deducted from your balance.

  3. Product Issues

    Delivery Errors and Recalls

    Sellers are responsible for non-delivery, misdelivery, defects, or recalls unless arising from ADMONNT NETWORK PRIVATE LIMITED’s errors. Prompt notification is required for recalls.

    Warranty Claims

    For warranty or dispute claims, sellers must respond within 30 days. If found liable, sellers reimburse ADMONNT NETWORK PRIVATE LIMITED for the claim amount, excluding referral fees retained by the platform.

  4. Compensation and Fees

    Sellers pay: if sellers refers some sellers.

    • Referral fees (1% of sales proceeds per product category of 1 month if referred seller sells more than INR 50,00,000 of products). All fees are subject to applicable taxes.

  5. Payments and Refunds

    Nodal Account

    Payments to sellers are managed through a nodal account as per RBI guidelines. ADMONNT NETWORK PRIVATE LIMITED is authorized to collect payments on behalf of sellers. A reserve amount may be withheld for future customer claims.

    Payment Schedule

    Settlement amounts are remitted to your bank account on the payment date for eligible and complete (on delivered products after return period is over) transactions i.e. in every 7 days (on Tuesday). Initial or updated bank details may delay payments by up to 14 days.

  6. Commission Models

    6.1 ‘X’ Price Model

    The seller will provide a price (inclusive of GST) at which they are willing to sell their product. ADMONNT NETWORK PRIVATE LIMITED will add a markup or inflate the price before listing the product on ADMONNT NETWORK PRIVATE LIMITED’s portal. In this model:

    • ADMONNT NETWORK PRIVATE LIMITED will bear the costs associated with logistics, returns, and payment gateway fees, and customer service.
    • This model is our preferred approach as it enables us to control the price, which significantly increases the chances of a sale. In this scenario, the influencer will receive a substantial portion of the commission.

    6.2 ‘Fixed 10%’ Model

    The seller provides a price at which they wish to sell, and ADMONNT NETWORK PRIVATE LIMITED will deduct 10% as its commission. The seller will get the remaining amount after deducting commission, logistics(max 10% of selling price), return, and payment gateway costs. Under this model:

    • The seller is responsible for covering logistics(max 10% of selling price), return, and payment gateway costs.
    • We will take care of customer service.

  7. Miscellaneous

    ADMONNT NETWORK PRIVATE LIMITED retains the right to amend or terminate these terms at its discretion. Sellers must comply with all platform policies and applicable laws.

Selling on ADMONNT NETWORK PRIVATE LIMITED – Definitions

  1. ADMONNT NETWORK PRIVATE LIMITED Products

    "ADMONNT NETWORK PRIVATE LIMITED Products" shall mean any of Your Products that are sold or fulfilled through the ADMONNT NETWORK PRIVATE LIMITED platform using its services and infrastructure.

  2. ADMONNT NETWORK PRIVATE LIMITED Refund Policies

    "ADMONNT NETWORK PRIVATE LIMITED Refund Policies" shall refer to the return and refund guidelines and procedures established and published by ADMONNT NETWORK PRIVATE LIMITED on its official website, as amended from time to time.

  3. Estimated Ship Date

    "Estimated Ship Date" shall mean, in relation to any of Your Products, the later of:

    • The conclusion of the shipping availability period (commencing from the date the customer places the relevant order), or the shipping availability date specified by you in the corresponding inventory or product data feed submitted to the ADMONNT NETWORK PRIVATE LIMITED platform.
    • If no shipping availability information is provided, or the product category is designated by ADMONNT NETWORK PRIVATE LIMITED for shipment within two (2) business days (excluding Sundays and public holidays), two (2) business days (excluding Sundays and public holidays) following the date the customer places the order.

  4. Refund Administration Fee

    "Refund Administration Fee" shall mean the lower of INR 300 or twenty percent (20%) of the applicable Referral Fee associated with the relevant transaction.

  5. Required Product Information

    "Required Product Information" shall mean, for each of Your Products listed on the ADMONNT NETWORK PRIVATE LIMITED platform, the following information, unless explicitly exempted under the applicable Program Policies:

    • A detailed product description;
    • SKU, EAN/UPC numbers, and any additional identifiers reasonably requested by ADMONNT NETWORK PRIVATE LIMITED;
    • Information on stock availability, shipping limitations, and Shipment Information (as categorized by ADMONNT NETWORK PRIVATE LIMITED policies);
    • Classification within ADMONNT NETWORK PRIVATE LIMITED’s prescribed product categories and browsing structures;
    • Digitized images depicting only the product, free from extraneous logos, text, or markings, compliant with ADMONNT NETWORK PRIVATE LIMITED’s image guidelines;
    • Purchase Price;
    • Shipping and handling charges (aligned with the platform’s standard functionalities);
    • Any disclaimers, warnings, notices, or legally required labels applicable under relevant laws;
    • Vendor-specific conditions such as restocking fees, if any, that must be disclosed to customers before purchase;
    • Brand and model information;
    • Dimensions and weight;
    • A structured list of technical specifications;
    • SKU, EAN/UPC numbers, or related identifiers for any accessories; and
    • Any additional information reasonably required by ADMONNT NETWORK PRIVATE LIMITED, including but not limited to the condition of used or refurbished products, or Harmonized System of Nomenclature/Service Accounting Code details.

  6. Shipment Information

    "Shipment Information" shall mean the estimated or guaranteed shipping and/or delivery date provided for Your Products.

  7. Street Date

    "Street Date" shall mean the date(s), if any, stipulated by the manufacturer, distributor, or licensor of a product as the date on or after which specified information about such a product (e.g., book titles) may be publicly disclosed or the product may be delivered or made available to customers.

  8. URL Marks

    "URL Marks" shall refer to any Trademark, logo, name, phrase, identifier, or alphanumeric string incorporating or referring to any top-level domain (e.g., .com, .co.in, .edu, .fr) or their variations (e.g., dotcom, .net, .org).

  9. Your Transaction

    "Your Transaction" shall be as defined in the Business Solutions Agreement. For the purposes of these Service Terms, it shall exclusively mean any and all transactions conducted through the Selling on ADMONNT NETWORK PRIVATE LIMITED program.
